    Agreement on Inventions & Patents

    This interactive document can be used to generate an Agreement on Inventions and Patents for Employees. This agreement is to ensure that the Company retains the rights of all inventions or improvements created by the Employee.

     

    Bylaws

    This form is to create Bylaws, which are rules and procedures for the operation of meetings of shareholders and directors. All corporations should have Bylaws. Be sure the procedures spelled in the Bylaws do not conflict with the corporation's articles of incorporation and state laws


    General Nondisclosure Agreement

    This is a General Non-disclosure Agreement. The form contains questions concerning details of the company and client who are entering into this agreement.

     

    Employment Offer Letter (Hiring Letter "At Will" Employment)

    This product creates a hiring offer letter which clearly explains that employment is "at-will", and does not create an employment contract between the employer and employee.

     

    Employment Agreement

    Employment agreements are not commonly used, but when the circumstances call for one, this form can be used to put the terms of employment between employer and employee into writing. It is a good idea to consult with an attorney before entering into an employment contract, both for employers and employees, because employment law varies from state to state. Also have the attorney review each provision of the contract to ensure that it is enforceable and legal in your particular state.

     

    Illinois Articles of Incorporation (Profit)

    This form contains the minimum number of provisions required by Illinois law to be set forth in the articles of incorporation of a domestic corporation.

     

    Independent Contractor Agreement

    Simple independent contractor agreement between a Company and Contractor for work to be done on an existing contract/project

     

    IP Technology Assignment Agreement

    Owners or founders can use this agreement to assign/transfer all relevant intellectual property (copyrights, trademarks, patents, trade secrets, and other intangible creations) created before forming the new company to the new company. This agreement will both provide records of ownership and transfer and protect the rights of all parties.

     

    Notice of Meeting

    Use this form to provide notice of meetings to shareholders or directors. Even when notice of a meeting is not legally required, as is normally the case for regular annual directors and shareholders meetings, you should always provide it (unless you have all directors or all shareholders sign a waiver of notice of meeting). Directors and shareholders can’t be expected to ferret these dates out of the corporate bylaws. As a matter of courtesy, they should always be informed well ahead of time of the time, place and purpose of all meetings.

     

    Organizational Meeting of Directors

    This template generates all of the organizational documents and corporate resolutions that are required at the organizational meeting of the Board of Directors for a corporation. The various resolutions and forms that are generated by this template are indispensable to the appropriate and correct organization of a corporation, whether it is a "C" corporation or an "S" corporation. When used in conjunction with an Articles of Incorporation, this template produces a complete system for establishing and organizing your corporation entity correctly and legally.

     

    Waiver of Notice of Meeting

    Use this form if you are preparing minutes of a meeting that has not occurred or will not occur, because you'll want to sidestep any formal call and notice requirements. The best way to do this from a legal perspective is to have each director or shareholder sign a written Waiver of Notice of Meeting form, dated before or on the same date as the meeting.

     

    You may also use a Waiver of Notice of Meeting form if you're planning to hold a real meeting. You should use a Waiver of Notice of Meeting form whenever you wish to hold a meeting of your board or shareholders and do not have or do not choose to take time to provide everyone with advance verbal or written notice.

     

    By signing this form, the director or shareholder waives any notice requirements for the meeting otherwise required under state law and any additional or alternative notice rules set in your bylaws.

    This is a general partnership agreement, a form that documents the agreement between partners to operate a business. The partnership agreement documents the amount of capital that each partner contributes, the method to be used to allocate profits and losses from the business, and the method used to distribute the assets should the business be dissolved.

     

    The form also contains questions concerning the name of the partnership, the purposes of the partnership, and key operational dates. It contains a section for a Notary Public to complete when the partners execute the agreement.
